JOB SUMMARY:

CARE’s Legal team is looking for a dynamic attorney to serve as principal legal advisor on contracts matters. As Senior Counsel, you will play a critical role in managing the organization’s contract management processes and ensuring adherence to CARE’s policies and risk thresholds. You will be responsible for drafting, reviewing, and negotiating a variety of contracts, and developing and maintaining contract templates and playbooks. Additionally, you will be responsible for developing policies, procedures, and training programs to enhance the organization’s contract management processes. We will look to you to both mitigate risk and create value by supporting contract professionals and other stakeholders to execute contracts that meet the needs of internal stakeholders in the US and abroad. You will also partner closely with those clients to oversee and manage other U.S. and international legal needs to help CARE achieve its mission.

RESPONSIBILITIES:

Draft, review and negotiate contracts

  • Draft, review and negotiate a wide variety of contracts, including supply chain agreements, master services agreements, service terms, SaaS and IT licenses, partnership, technology, data processing, teaming, fundraising and grant agreements, with an emphasis on strategic vendor relationships and sourcing agreements
  • Partner with supply chain, finance, IT, country offices and other internal stakeholders to ensure that contract terms align with organizational objectives and risk tolerance and maintain awareness of current organizational treads, operating conditions and internal processes and practices that may impact contract terms
  • Advise on applicable laws to help the organization navigate through a variety of U.S. and international regulatory matters, particularly related to contracting and supply chain

Develop contracting templates, toolkits and training

  • Develop and maintain standardized contract templates and contracting policies, processes and playbooks that support CARE’s mission and objectives, scale globally, minimize legal risk and enhance efficiency and consistency across the organization
  • Drive initiatives develop, implement and enhance processes and policies that improve legal services, efficiency and standardization
  • Create and deliver training programs and materials to educate contract professionals and other colleagues on key contracting requirements and best practices

Support design and maintenance of CML platform

  • Support the design, maintenance and integration of global supply chain technology platform, including the implementation of a Contract Lifecycle Management (CLM) platform

Other legal duties as assigned

  • Assist with other legal matters as requested, which may include general corporate and commercial matters, entity registration and governance, tax, IP and other matters associated with nonprofits

QUALIFICATIONS:

  • Juris Doctor (JD) or equivalent law degree from an accredited institution
  • Admittance to the bar in at least one jurisdiction
  • Strong knowledge of contracts law principles, commercial transactions, and relevant legal and regulatory frameworks
  • Excellent contract drafting and negotiation skills with a proven track record of successfully negotiating complex agreements
  • Experience in technology, privacy and data protection, and AI governance issues
  • Effective communication skills, including clear and concise writing skills and ability to collaborate, inspire trust and build relationships with stakeholders at all levels of the organization and with multinational teams operating in multiple time zones
  • Strong responsiveness, time management, and organizational skills. Project management experience and the ability to prioritize, multi-task, meet deadlines and maintain flexibility in a dynamic and fast-paced environment
  • Comfortable deploying a calibrated risk-based approach to complex and novel legal issues
  • Ability to develop strong working relationships within the legal team and with internal stakeholders
  • Quick learner with demonstrated ability and strong desire to develop expertise in additional legal subject matters, grow professionally, upskill, implement new technologies and processes, and remain agile and adaptable
  • Fluent English. Additional languages are a plus.
